By accessing, browsing, or using the website at docbatch.ai and the services provided through it (collectively, the "Service"), you ("User", "you", "your") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and our Cookie Policy, which are incorporated herein by reference. If you do not agree with any part of these Terms, you must immediately discontinue use of the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Description of Service

docbatch.ai provides a cloud-based platform for automated document processing using Artificial Intelligence technologies. The Service enables users to upload documents, extract structured data, and manage processed outputs through an optimized logistics layer for high-volume requests.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

4. User Accounts

You must provide accurate, current, and complete information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials.
You are fully responsible for all activities that occur under your account.
You must notify us immediately at hello@docbatch.ai of any unauthorized access or use of your account.
We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.
You may not share, transfer, or sell your account to another person or entity.

5. Acceptable Use

You agree NOT to use the Service to:

Upload, process, or transmit any content that is illegal, fraudulent, defamatory, obscene, threatening, or otherwise objectionable.
Process documents that infringe on the intellectual property rights, privacy rights, or other rights of any third party.
Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
Introduce viruses, malware, or any other harmful code or technology.
Use the Service for any competitive benchmarking, reverse engineering, or to build a competing product.
Use automated systems (bots, scrapers) to access the Service in a manner that exceeds reasonable usage or circumvents rate limits.
Resell, sublicense, or redistribute the Service or its outputs without prior written consent.
Violate any applicable local, national, or international law or regulation.

We reserve the right to investigate and take appropriate action against any violations, including suspending or terminating your account and reporting illegal activity to law enforcement authorities.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by docbatch.ai and protected by international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written permission.

6.2 Your Content

You retain full ownership of the documents and data you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, temporary license to process it solely for the purpose of providing the Service to you. This license terminates when Your Content is deleted from our systems. We claim no ownership rights over Your Content.

7. Payments and Subscriptions

Billing: The Service is billed on a monthly subscription or pay-as-you-go basis, as selected by you. Prices are displayed in your dashboard and are subject to change with 30 days' prior notice.
Payment Processing: Payments are processed securely through Stripe. By providing payment information, you agree to Stripe's terms of service.
Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
Cancellation: You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period, and you will retain access until then.
Refunds: Refunds are evaluated on a case-by-case basis. Generally, we do not offer refunds for partial billing periods or unused credits. If you believe you are entitled to a refund, contact us at hello@docbatch.ai.
Taxes: Prices may be exclusive of applicable taxes. You are responsible for any taxes imposed on your use of the Service.
Non-Payment: We reserve the right to suspend access to the Service for overdue payments after providing reasonable notice.

8. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be subject to scheduled or unscheduled maintenance, updates, or outages. We will make reasonable efforts to provide advance notice of planned downtime when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT AI-GENERATED DATA EXTRACTION OR PROCESSING WILL BE 100% ACCURATE, COMPLETE, OR ERROR-FREE. AI CAN MAKE MISTAKES. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL OUTPUTS BEFORE RELYING ON THEM FOR ANY PURPOSE, INCLUDING BUSINESS, FINANCIAL, LEGAL, OR COMPLIANCE DECISIONS.
IN NO EVENT SHALL DOCBATCH.AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, the above limitations shall apply to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless docbatch.ai and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) the content of the documents you upload to the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to other users, us, or third parties.

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account data in accordance with our Privacy Policy; (c) any outstanding payment obligations survive termination. You may request an export of your data before account termination.

12. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, either party may pursue resolution through the competent courts.

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or cyberattacks.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and docbatch.ai regarding the use of the Service. These Terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter herein. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where required, by sending an email notification to the address associated with your account. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree with the modified Terms, you must stop using the Service and close your account.
